Welcome to PxyEdge.
These Terms of Service (hereinafter referred to as the "Terms" or "Agreement") constitute a
legally binding agreement between you (whether as a visitor, registered user, or any individual
accessing the Services, collectively "User" or "you") and The PxyEdge by AI Domain Ltd
("PxyEdge," "we," "us," or "our"). These Terms govern your access to and use of our platform,
along with all associated software, applications, documentation, and services provided by
PxyEdge (collectively, the "Services").
BY ACCESSING OR USING THE SERVICES, YOU ACKNOWLEDGE THAT YOU HAVE READ,
UNDERSTOOD, AND AGREE TO BE BOUND BY THESE TERMS, REGARDLESS OF WHETHER
YOU ARE A REGISTERED USER. IF YOU DO NOT AGREE TO THESE TERMS, YOU MUST
IMMEDIATELY CEASE ALL USE OF THE SERVICES. PxyEdge reserves the right, at its sole
discretion, to modify or replace these Terms at any time. Notice of such modifications will be
provided as outlined in Section 6.4 below.
PLEASE READ THESE TERMS CAREFULLY AS THEY CONTAIN IMPORTANT INFORMATION
REGARDING YOUR LEGAL RIGHTS, REMEDIES, AND OBLIGATIONS.
[IMPORTANT NOTICE: ARBITRATION AGREEMENT AND CLASS ACTION WAIVER]
SECTION 5.11 OF THESE TERMS CONTAINS A MANDATORY INDIVIDUAL ARBITRATION
PROVISION (THE "ARBITRATION AGREEMENT") AND A CLASS ACTION AND JURY TRIAL
WAIVER (THE "CLASS ACTION/JURY TRIAL WAIVER"). UNLESS YOU PROPERLY OPT OUT IN
ACCORDANCE WITH THE INSTRUCTIONS SET FORTH IN SECTION 5.11.4, ANY AND ALL
DISPUTES OR CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF
THE SERVICES (INCLUDING CLAIMS THAT AROSE PENDING OR PRIOR TO YOUR ACCEPTANCE
OF THESE TERMS) MUST BE RESOLVED EXCLUSIVELY BY FINAL AND BINDING ARBITRATION
ON AN INDIVIDUAL BASIS.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, YOU EXPRESSLY WAIVE YOUR
RIGHT TO SEEK RELIEF IN A COURT OF LAW AND TO HAVE A JURY TRIAL ON ANY CLAIMS
BROUGHT AGAINST PXYEDGE. YOU FURTHER EXPRESSLY WAIVE YOUR RIGHT TO
PARTICIPATE AS A PLAINTIFF OR CLASS MEMBER IN ANY CLASS ACTION, CLASS OR
COLLECTIVE ARBITRATION, PRIVATE ATTORNEY GENERAL ACTION, OR OTHER
REPRESENTATIVE PROCEEDING AGAINST PXYEDGE.1、 Agreement and Eligibility
1. Eligibility and Capacity
These Terms constitute a legally binding agreement between you and PxyEdge. By accessing or
using the Services, you expressly acknowledge and agree to be bound by these Terms. If you do
not agree to these Terms, you are strictly prohibited from using the Services. You may use the
Services only if you possess the legal capacity to form a binding contract with PxyEdge and only
in compliance with all applicable local, state, national, and international laws, rules, and
regulations. Any access to or use of the Services by individuals under eighteen (18) years of
age is strictly prohibited and constitutes a material breach of these Terms. Furthermore, the
Services are not available to any Users previously suspended or removed from the platform by
PxyEdge. If you are accepting these Terms on behalf of a corporation, organization, or other legal
entity, "you" refers to both you individually and the entity. In such a case, you represent and
warrant that you are an authorized representative of the entity with the authority to bind the
entity to these Terms.
2. Privacy Policy and Data Protection
Your privacy is of utmost importance to us. Please review our Privacy Policy, which is
incorporated herein by reference, for detailed information regarding our practices on the
collection, processing, and protection of data related to the use and performance of our website
and products, including the personal information of our Customers and authorized users.
2、 Accounts and Subscriptions
1. Account Registration and Security
To access specific features of the Services, you must register for an account ("User Account"). We
reserve the right to establish and maintain different types of accounts for different user
categories. If you connect to the Services via a third-party application, you hereby grant us
permission to access, use, and store your credentials and associated information as permitted
by that third-party service. You represent and warrant that all information provided during
registration is accurate, current, and complete. Account sharing or unauthorized use of
another User's account is strictly prohibited. You are solely and absolutely responsible for
maintaining the confidentiality of your account credentials (including passwords and API keys)
and for all activities that occur under your account. We strongly encourage the use of "strong"
passwords. You must notify PxyEdge immediately of any actual or suspected security breach or
unauthorized access. PxyEdge shall not be liable for any losses or damages arising from the
unauthorized use of your account. By providing your email address, you consent to our using
the email address to send you Service-related notices, including any notices required by law, inlieu of communication by postal mail. You may opt out of promotional communications via your
account settings; however, you may not opt out of essential service-related or legal notifications.
2. Subscriptions
Access to the Services is provided on a subscription basis ("Subscription"). You may acquire a
subscription directly through the Services interface or, in certain instances, pursuant to a
separate written order form executed between you and PxyEdge (the "Order Form"). A
Subscription commences on the date the Services are made available to the Customer and shall
remain in full force and effect for the duration specified in the applicable Service tier or Order
Form (the "Subscription Term").
3. REFUND AND CANCELLATION POLICY
3.1 General Non-Refundable Policy
To the maximum extent permitted by applicable law, all fees, charges, and subscriptions paid to
PxyEdge are strictly final and non-refundable. PxyEdge does not provide refunds, partial
refunds, or prorated credits for any partial subscription periods, unused traffic quotas, service
downgrades, or remaining balances upon account cancellation.
3.2 Discretionary Exceptions
Notwithstanding the foregoing, PxyEdge reserves the right to evaluate and process refund
requests on a case-by-case basis for exceptional circumstances. You acknowledge and agree
that any such refunds or credits will be granted entirely at PxyEdge's sole and absolute
discretion. If you believe you are eligible for an exceptional refund, you must submit a formal
request by contacting our billing team via email at service@pxyedge.com or reaching out to
your designated account manager. The granting of a refund in one instance does not entitle you
to future refunds under similar circumstances, nor does it obligate PxyEdge to grant refunds to
other users.
3.3 Promotional Credits and Bonuses
Any funds, credits, or balances added to your PxyEdge account as a promotional bonus,
marketing incentive, complimentary gift, or referral reward possess no cash value. Under no
circumstances are such promotional funds eligible for a refund, withdrawal, or transfer to
another account or payment method.
3、 License and Acceptable Use
1. Limited License Grant
Subject to your strict and ongoing compliance with these Terms, PxyEdge grants you a limited,
non-exclusive, non-transferable, non-sublicensable, and freely revocable license to access and
use the Services solely for your internal business purposes, as permitted by the features of the
Services. PxyEdge reserves all rights not expressly granted herein. PxyEdge and its licensorsretain all right, title, and interest in and to the Services and the PxyEdge Content (as defined in
Section 4.1). PxyEdge reserves the right to terminate this license at any time, for any reason, or
for no reason at all, at its sole and absolute discretion.
2. Fair Use Policy (FUP)
To ensure the stability and optimal performance of the PxyEdge network, your use of the
Services must be reasonable and equitable. Even if your subscription plan does not explicitly
state a traffic cap, PxyEdge reserves the right, at its sole and absolute discretion, to impose
system-level restrictions on your account (including, but not limited to, throttling bandwidth
speed, limiting data traffic, capping concurrent connections, or restricting API request rates) to
prevent the excessive consumption or abuse of network resources. We reserve the right to
unilaterally adjust these technical limitation mechanisms at any time without prior notice.
3. Acceptable Use Policy (AUP) and Prohibited Conduct
You expressly agree not to engage in, facilitate, or encourage any of the following prohibited
activities:
•
Network and System Abuse: Probing, scanning, or testing the vulnerability of our systems;
breaching or circumventing any security or authentication measures; transmitting viruses,
invalid data, or malicious code; executing Denial of Service (DDoS) attacks; or imposing an
unreasonable or disproportionately large load on our infrastructure or the infrastructure of
any target websites.
•
Fraud and Impersonation: Sending spam, chain letters, or unsolicited commercial
communications; impersonating any person or entity; concealing your true IP address or
identity; or engaging in ad fraud.
•
Data Exploitation: Automated scraping, harvesting, or collecting of personally identifiable
information (PII) or protected non-public data from any third-party websites using our
Services.
•
Commercial Abuse: Renting, leasing, reselling, or distributing the Services without the
express prior written consent of PxyEdge; or using the Services for automated ticketing bots.
•
Circumvention: Bypassing any rate limits, access controls, or copy protection mechanisms
instituted by PxyEdge.
•
Illegal Activities: Using the Services for any unlawful purposes or in violation of any
applicable laws, regulations, or third-party rights.
KYC and Identity Verification:
In the event PxyEdge, in its sole discretion, suspects that your account has engaged in any
prohibited conduct, you agree to fully cooperate with our identity verification (KYC) procedures.
Failure to successfully complete such verification will result in the immediate suspension or
termination of your User Account.Data Scraping and Third-Party Content Compliance
You acknowledge and agree that PxyEdge strictly provides the underlying network routing
infrastructure. By utilizing the Services for any form of web scraping, data extraction, or content
aggregation, you do not acquire any ownership rights, intellectual property rights, or licenses
from PxyEdge pertaining to the third-party content retrieved. You bear the sole and exclusive
responsibility for ensuring a lawful basis for all data you collect.
You expressly agree that you shall not:
(i) use the Services to bypass or circumvent access controls, paywalls, Digital Rights
Management (DRM), or to scrape closed content requiring authenticated login;
(ii) ignore site-specific technical restrictions, including but not limited to robots.txt and
rate limits; or
(iii) utilize collected data to unlawfully monitor or surveil identifiable natural persons.
Specifically, if you engage in the collection of Personally Identifiable Information (PII) for
purposes including AI model training or commercialization, you must strictly comply with all
applicable data protection and privacy regulations (including, without limitation, the GDPR and
CCPA). PxyEdge expressly disclaims any and all liability for disputes, claims, or regulatory
penalties arising from your unauthorized scraping, circumvention of access controls, or
violation of data privacy laws, and you agree to fully indemnify and hold PxyEdge harmless from
any such claims.
4. Modification and Termination of Services
PxyEdge reserves the right, at its sole discretion and without prior notice, to modify, update,
suspend, or discontinue the Services (or any features thereof), or to impose new limits on
certain features. We may permanently or temporarily terminate or suspend your access to the
Services without notice and liability if, in our sole determination, you violate any provision of
these Terms. Upon termination for any reason, you continue to be bound by these Terms, and all
provisions which by their nature should survive termination shall survive.
4、 Intellectual Property and Ownership
1. Proprietary Rights and Intellectual Property
Except for the limited license expressly granted to you under these Terms, the Services and all
materials therein or transferred thereby, including, without limitation, the underlying proxy
infrastructure, software code, API architecture, user interfaces, text, graphics, logos, trademarks,
trade dress, and all related documentation (collectively, "PxyEdge Content"), and all Intellectual
Property Rights related thereto, are the exclusive property of PxyEdge and its licensors. Nothing
in these Terms shall be deemed to create a license in or under any such Intellectual Property
Rights, and you agree not to sell, license, rent, modify, distribute, copy, reproduce, transmit,publicly display, publicly perform, publish, adapt, edit, or create derivative works from any
PxyEdge Content without the express prior written consent of PxyEdge.
2. Feedback and Submissions
During your use of the Services, you may choose to, or we may invite you to, submit comments,
bug reports, ideas, or suggestions regarding the Services, including without limitation,
improvements or new features (collectively, "Feedback"). By submitting any Feedback, you
acknowledge and agree that your disclosure is entirely voluntary, gratuitous, and made without
restriction. You further agree that PxyEdge is free to use, implement, modify, and disclose such
Feedback for any purpose whatsoever—including in the development and marketing of
products and services—without any obligation of confidentiality, attribution, or compensation
to you.
5、 Disclaimers and Governing Law
1. User Disputes
You are solely and exclusively responsible for your interactions with other Users of the Services.
PxyEdge expressly disclaims any and all liability or responsibility for the conduct, acts, or
omissions of any User, or for any claims, damages, or disputes arising out of or in connection
with your interactions with any other User.
2. Location of Service and Export Compliance
The Services are controlled and operated by PxyEdge from facilities located within the Hong
Kong Special Administrative Region ("Hong Kong") and other global server infrastructures.
PxyEdge makes no representation or warranty that the Services are appropriate or available for
use in other jurisdictions. Those who choose to access or use the Services from other locations
do so at their own volition and are entirely responsible for strict compliance with all applicable
local and international laws, including but not limited to export and import regulations. You are
strictly prohibited from using the Services if you are a resident of a country or territory subject to
comprehensive sanctions or embargoes by applicable authorities, or if you are a foreign person
or entity blocked, denied, or otherwise restricted by applicable economic sanctions laws.
3. Disclaimer of Warranties and Assumption of Risk
3.1 PROVIDED "AS IS" AND "AS AVAILABLE"
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICES, SYSTEM, AND ALL
PROXY NETWORKS ARE PROVIDED BY PXYEDGE ON AN "AS IS" AND "AS AVAILABLE" BASIS.
PXYEDGE EXPRESSLY DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR
IMPLIED, INCLUDING, BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY,
FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. PXYEDGE DOES NOT
WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, TIMELY, SECURE, ERROR-FREE, OR
FREE FROM VIRUSES OR OTHER MALICIOUS COMPONENTS. YOU ACKNOWLEDGE THATINHERENT RISKS EXIST IN INTERNET TRANSMISSIONS AND SOFTWARE, AND YOU ASSUME ALL
RISKS ASSOCIATED WITH YOUR USE OF THE SERVICES.
3.2 Target Website Compliance and IP Blocking
You acknowledge and agree that third-party websites or platforms accessed via our Services
maintain their own independent terms of service, acceptable use policies, and anti-bot/anti
proxy mechanisms. Target websites may alter their access policies or block specific IP addresses
without notice. You are solely and exclusively responsible for evaluating and strictly complying
with the terms of service of any target website, as well as all applicable laws (including
intellectual property and data protection laws). PxyEdge shall bear no liability or responsibility
for any account bans, IP blocks, access restrictions, or legal claims initiated by third-party
websites arising from your use of the Services.
3.3 Communications Security and Phishing
You acknowledge that electronic communications, including emails and instant messaging (e.g.,
Telegram), are susceptible to spoofing and phishing attacks. PxyEdge will only communicate
with you through our official domain (https://pxyedge.com/) or verified internal support
channels. PxyEdge explicitly disclaims any liability for losses, damages, or unauthorized account
access resulting from your interaction with fraudulent communications, phishing attempts, or
unauthorized third parties impersonating PxyEdge personnel.
4. Third-Party Services and External Links
4.1 Third-Party Providers: To facilitate the operation of the Services (including, but not limited
to, payment processing, bot mitigation, automated communications, and customer support),
PxyEdge may integrate or utilize third-party services (e.g., Stripe, MTCaptcha). You acknowledge
and agree that your use of such third-party services is strictly subject to their respective terms of
service and privacy policies. PxyEdge assumes no liability or responsibility for the security,
availability, or data processing practices of any third-party providers. Any disputes arising from
third-party service failures, delays, or errors (such as withheld funds by a payment gateway)
must be resolved directly between you and the applicable third party.
4.2 External Links: The Services or the PxyEdge website/blog may contain links to external
third-party websites. These links are provided solely for your convenience. PxyEdge does not
endorse, warrant, or assume any responsibility for the content, products, or privacy practices of
such external sites. Accessing any third-party link is entirely at your own risk.
5. Non-Affiliation and Information Accuracy
5.1 Non-Affiliation Declaration:
PxyEdge is an independent network infrastructure provider. We are not affiliated with,
sponsored by, authorized by, or officially endorsed by any third-party target websites, platforms,
or brands that you may access utilizing our Services. Any reference to third-party trademarks ornames within the PxyEdge platform is strictly for descriptive purposes and does not grant you
any rights to such third-party content.
5.2 Information "As Is":
Any metrics, statistics, tutorials, or articles provided on the PxyEdge website, dashboard, or blog
are for general informational purposes only and do not constitute legal, tax, or professional
technical advice. PxyEdge makes no representations regarding the absolute accuracy,
timeliness, or completeness of such information and disclaims any liability for losses resulting
from your reliance upon it.
6. Indemnification
To the maximum extent permitted by applicable law, you agree to defend, indemnify, and hold
harmless PxyEdge, its parent company, affiliates, and their respective officers, directors,
employees, and agents, from and against any and all claims, damages, obligations, losses,
liabilities, costs or debt, and expenses (including but not limited to reasonable attorney's fees)
arising from:
(i) your use of, access to, or misuse of the Services and the system;
(ii) your violation of any term of these Terms, including without limitation your breach of any of
the representations, warranties, or the Acceptable Use Policy;
(iii) your violation of any third-party right, including without limitation any intellectual property,
property, privacy right, or the terms of service of any target website; or
(iv) your violation of any applicable laws, rules, or regulations (including data protection laws).
PxyEdge reserves the right to assume the exclusive defense and control of any matter otherwise
subject to indemnification by you, and you agree to fully cooperate with PxyEdge's defense of
such claims.
7. Technical Requirements and Compatibility
You acknowledge and agree that you are solely and exclusively responsible for obtaining,
configuring, and maintaining all hardware, software, network connectivity, and other technical
equipment necessary to access the PxyEdge system and utilize the Services. PxyEdge makes no
representation or warranty that the Services will be compatible with your specific operating
system, custom scripts, third-party software, or network environment. PxyEdge shall bear no
liability for any inability to access or use the Services resulting from hardware incompatibilities,
local network failures, or misconfigurations on your end, nor is PxyEdge obligated to provide
custom technical support or refunds for such localized compatibility issues.
8. Termination and Account Cancellation
8.1 Termination for Breach and Law Enforcement
If PxyEdge, in its sole and absolute discretion, determines that you have breached any provision
of these Terms (particularly the Acceptable Use Policy or data compliance requirements), wereserve the right to immediately suspend or permanently terminate your account and access to
the Services. In such an event, you shall not be entitled to any refund of pre-paid fees or
account balances. In cases of material breach (e.g., cyberattacks, fraud, abuse, or suspected
criminal activity), PxyEdge reserves the right to report your activities to competent law
enforcement authorities and will permanently block your registration credentials (including but
not limited to IP addresses, device fingerprints, and email addresses) to prevent any future
access to our platform.
8.2 User-Initiated Cancellation and Balance Forfeiture
You may terminate this Agreement at any time by proactively deleting your account through the
PxyEdge dashboard settings. Please be advised that account deletion is irreversible. Prior to
initiating account deletion, you are solely responsible for utilizing any remaining account
balances and traffic quotas. Upon successful account deletion, all unused service periods,
traffic quotas, and account balances (specifically including, but not limited to, funds
deposited via cryptocurrency) shall be immediately forfeited and are strictly non
refundable and non-withdrawable. Termination of this Agreement shall not relieve you of any
payment obligations accrued prior to the effective date of termination.
9. Confidentiality
9.1 Definition of Confidential Information:
During your use of the Services, PxyEdge may disclose non-public, proprietary information to
you ("Confidential Information"). This includes, but is not limited to:
(i) customized pricing, discounts, or commercial terms not publicly displayed on our website
(e.g., agreements reached via separate Order Forms or sales contracts);
(ii) proprietary technical architecture, non-public API documentation, and underlying system
logic; and
(iii) any other business or technical information designated as confidential or which reasonably
should be understood to be confidential.
9.2 Obligation of Confidentiality:
You agree to maintain the strict confidentiality of all Confidential Information. You shall not
disclose, leak, or share such Confidential Information with any third party (including public
forums, competitors, or other users) without the express prior written consent of PxyEdge, and
you shall use such information solely for the purpose of utilizing the Services in accordance with
these Terms. This obligation does not apply to information that becomes lawfully known to the
public or is required to be disclosed by applicable law or a valid court order.
9.3 Breach of Confidentiality:
You acknowledge that any unauthorized disclosure of Confidential Information—specifically
regarding customized pricing and exclusive commercial terms—will cause irreparablecommercial harm to PxyEdge. In the event of such a breach, PxyEdge reserves the right to
immediately terminate your account, revoke any customized preferential terms, and pursue all
available legal remedies, including monetary damages and injunctive relief. The obligations set
forth in this Section shall survive the termination of this Agreement.
10. LIMITATION OF LIABILITY
10.1 EXCLUSION OF INDIRECT DAMAGES:
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL PXYEDGE, ITS
AFFILIATES, DIRECTORS, EMPLOYEES, AGENTS, OR SUPPLIERS BE LIABLE FOR ANY INDIRECT,
PUNITIVE, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, INCLUDING
WITHOUT LIMITATION, DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, BUSINESS
INTERRUPTION, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO THE USE OF,
OR INABILITY TO USE, THE SERVICES, REGARDLESS OF WHETHER SUCH LIABILITY IS BASED ON
CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR ANY OTHER LEGAL THEORY,
EVEN IF PXYEDGE HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
10.2 SPECIFIC EXCLUSIONS:
UNDER NO CIRCUMSTANCES WILL PXYEDGE BE RESPONSIBLE FOR ANY DAMAGE, LOSS, OR
INJURY RESULTING FROM: (I) HACKING, TAMPERING, OR OTHER UNAUTHORIZED ACCESS OR
USE OF THE SERVICES OR YOUR ACCOUNT; (II) BUGS, VIRUSES, TROJAN HORSES, OR THE LIKE
THAT MAY BE TRANSMITTED TO OR THROUGH OUR SERVICES BY ANY THIRD PARTY; (III) THE
DEFAMATORY, OFFENSIVE, OR ILLEGAL CONDUCT OF ANY THIRD PARTY (INCLUDING TARGET
WEBSITE ACTIONS); OR (IV) ANY INTERRUPTION OR CESSATION OF TRANSMISSION TO OR FROM
THE SERVICES.
10.3 LIABILITY CAP:
IN NO EVENT SHALL PXYEDGE’S TOTAL CUMULATIVE LIABILITY TO YOU FOR ALL CLAIMS,
ACTIONS, LIABILITIES, OBLIGATIONS, DAMAGES, OR LOSSES ARISING OUT OF OR RELATING TO
THESE TERMS OR THE SERVICES EXCEED THE GREATER OF: (A) THE TOTAL AMOUNTS
ACTUALLY PAID BY YOU TO PXYEDGE UNDER THIS AGREEMENT IN THE TWELVE (12) MONTHS
IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) FIFTY US DOLLARS
($50.00 USD). THIS LIMITATION OF LIABILITY SECTION APPLIES WHETHER THE ALLEGED
LIABILITY IS BASED ON CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR ANY OTHER BASIS,
AND EVEN IF ANY LIMITED REMEDY FAILS OF ITS ESSENTIAL PURPOSE.
11. DISPUTE RESOLUTION AND ARBITRATION AGREEMENT
11.1 Informal Dispute Resolution: Before initiating any formal arbitration proceeding, you
agree to first contact us directly via email at service@pxyedge.com to describe your claim
and attempt to resolve the dispute informally. If we are unable to resolve the dispute within
thirty (30) days after receipt of your notice, either party may commence formal arbitration
proceedings.11.2 Mandatory Arbitration (HKIAC):
Except as otherwise provided herein, any dispute, controversy, or claim arising out of or relating
to these Terms or the Services that cannot be resolved informally shall be referred to and finally
resolved by exclusive and binding individual arbitration administered by the Hong Kong
International Arbitration Centre (HKIAC) under the HKIAC Administered Arbitration Rules in
force when the Notice of Arbitration is submitted. The seat of arbitration shall be Hong Kong.
The number of arbitrators shall be one (1). The arbitration proceedings shall be conducted in
English.
11.3 Class Action and Jury Trial Waiver:
YOU AND PXYEDGE AGREE THAT ANY PROCEEDINGS TO RESOLVE DISPUTES WILL BE
CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR
REPRESENTATIVE ACTION. The arbitrator may not consolidate more than one person's claims.
YOU HEREBY EXPRESSLY WAIVE ANY RIGHT TO A TRIAL BY JURY OR TO PARTICIPATE IN A CLASS
ACTION.
11.4 30-Day Right to Opt-Out:
You have the right to opt out of the provisions of this Arbitration Agreement by sending written
notice of your decision to opt out via email to service@pxyedge.com with the subject line
"ARBITRATION OPT-OUT" within thirty (30) days of your initial acceptance of these Terms or your
initial account registration, whichever is earlier. Your notice must include your full name,
registered email address, and a clear statement that you wish to opt out of this Arbitration
Agreement. If you do not properly opt out within this 30-day period, you will be permanently
and irrevocably bound to arbitrate disputes in accordance with this Section.
6、GENERAL PROVISIONS
You and PxyEdge are independent contractors, and nothing in these Terms creates a
partnership, joint venture, agency, or employment relationship.
1. Assignment
You may not assign, delegate, or transfer these Terms or any of your rights or obligations
hereunder, by operation of law or otherwise, without the prior written consent of PxyEdge. Any
attempt by you to assign or transfer these Terms without such consent will be null and void.
PxyEdge reserves the right to freely assign or transfer these Terms, in whole or in part, to any
affiliate, successor in interest, or third party at any time, without prior notice or consent from
you.
2. Severability and Survival
If any provision of these Terms is found by a court or arbitrator of competent jurisdiction to be
invalid, illegal, or unenforceable, such provision shall be modified or eliminated to the minimumextent necessary so that these Terms shall otherwise remain in full force and effect and
enforceable. All provisions of these Terms which by their nature should survive termination shall
survive termination, including, without limitation, ownership provisions, warranty disclaimers,
indemnity, limitations of liability, and dispute resolution.
3. Controlling Language
These Terms and any other policies on the PxyEdge platform are drafted in the English language.
PxyEdge may provide translations in other languages for your convenience. You expressly agree
that in the event of any conflict, ambiguity, or inconsistency between the English version and
any translated version, the English version shall exclusively govern and control in all
respects.
4. Modifications to Terms
PxyEdge reserves the right, at its sole and absolute discretion, to modify, update, or replace
these Terms at any time. If a revision is material, we will provide notice by sending an email to
the address associated with your account, posting a notice on the system dashboard, or
updating the "Last Updated" date at the top of these Terms. Any modifications will be effective
immediately upon posting or notification (or such later date as specified in the notice). Your
continued access to or use of the Services following the effective date of any changes constitutes
your express acceptance of, and agreement to be bound by, the revised Terms. If you do not
agree to the new Terms, you must immediately stop using the Services and cancel your account.
5. Entire Agreement
These Terms, together with the Privacy Policy, the Fair Use Policy (FUP), and any other legal
notices or separate Order Forms published or executed by PxyEdge, shall constitute the entire
and exclusive understanding and agreement between you and PxyEdge concerning the Services.
These Terms supersede and replace any and all prior or contemporaneous oral or written
agreements, communications, or understandings between you and PxyEdge regarding the
subject matter herein.
6. No Waiver
The failure or delay of PxyEdge to exercise or enforce any right, power, or privilege under these
Terms shall not operate as or be deemed a waiver thereof. Nor shall any single or partial exercise
of any right preclude any other or further exercise thereof or the exercise of any other right
under these Terms. Any waiver of a breach of these Terms must be in writing and signed by an
authorized representative of PxyEdge to be legally effective.
